Optimality provides a cloud-based execution intelligence platform (“Subscription Service”), including workflow management and optional AI-powered features.

We grant you a limited, non-exclusive, non-transferable license to use the Subscription Service during your Subscription Term for internal business purposes.
• You may not:
• Reverse engineer
• Resell or sublicense
• Use to build a competing product

Subscriptions renew automatically for successive billing periods unless canceled. You may cancel at any time through your account billing settings. Cancellation takes effect at the end of the current billing period.

Optimality reserves the right to modify this Agreement, including pricing, fees, and subscription terms, from time to time. For material changes, we will provide reasonable notice (which may include email or in-product notification). Changes will take effect at the start of your next billing period following such notice. Your continued use of the Subscription Service after the effective date of any changes constitutes acceptance of the updated terms.

If you do not agree to the updated terms, you may cancel your subscription prior to the next billing period.

You authorize recurring charges to your selected payment method. Fees are non-refundable except where required by law. We may suspend service for non-payment.

You retain ownership of Customer Data. You grant Optimality a limited license to process Customer Data to provide and improve the Service. We may use anonymized, aggregated data to improve platform functionality.

AI-generated outputs are provided for informational purposes and may require human review. You remain responsible for decisions made based on AI-generated content.

Optimality maintains commercially reasonable safeguards to protect Customer Data and is SOC 2 Type II certified.

Each party agrees to protect confidential information disclosed under this Agreement.

THE SERVICE IS PROVIDED “AS IS.” WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY AND FITNESS FOR APARTICULAR PURPOSE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT OR CONSEQUENTIAL DAMAGES.

We may suspend or terminate for breach, non-payment, or misuse. Upon termination, access ceases and data may be deleted after a reasonable retention period.

Delaware law governs this Agreement.
